TERMS OF SALE

These Terms of Sale (hereinafter “Terms”) have been made available online by the Seller on the Sites and govern all offers, orders, agreements and other legal relationships between the Buyer and the Seller with respect to the use of the Site, including the purchase and sale of a Product on or via the Site.  

DEFINITIONS

  • “Agreement”: means the conclusion of an Order from Buyer, which the Seller has accepted and governed by these Terms, the Shipping and Return Policy and the Privacy Policy.
  • “Seller”: means Nine and Two BV, doing business as SEPI AGARI, with address at Bredestraat 4, 2000 Antwerpen and registered in the KBO under BE0787789557 and email: info@sepiagari.com
  • “Buyer”: means a natural person eligible to buy the Products and not acting within the context of practicing a profession or conducting a business, with whom the Seller concludes a purchase agreement for the Products.
  • “Order”: means an offer to order placed by the Buyer in accordance with the procedure described in these Terms of Sale, for the delivery of one or more Products
  • “Product”: means a SEPI AGARI product that the Seller offers for sale via any of its Sites.
  • “Site(s)”: means sepiagari.com and any subdomains thereof.
  • “Purchase Price”: means the price(s) indicated on the Order confirmation for purchase of Product(s), including VAT and shipping costs.

CONCLUSION OF THE AGREEMENT

2.1 An Agreement will only be considered final by means of the Seller’s acceptance of the Order from the Buyer that has been placed on or via a Site in the following manner: – The Buyer has selected the Product they wish to purchase and has added the Product to the shopping cart.
– The Buyer has followed and completed the following steps:

  • The Buyer has filled in his/her address details and the nominated delivery address.

  • The Buyer has validated their order.
  • The Buyer has selected the chosen payment method and executed payment.
  • At this point the order is considered as placed. If the Order has been accepted by the Seller, the Seller will send the Buyer a confirmation, by e-mail, as soon as possible after the Order has been accepted.

2.2 The Seller is entitled to refuse any Order. Reasons for non-acceptance include but are not limited to the following: the information that the Buyer has filled in is incorrect or incomplete, the Buyer’s payment is not received, the Buyer has failed to comply with his/her payment obligations towards Seller previously, the Buyer has failed to accept and/or collect Orders previously, If there was an error in the advertised price on a Site.


2.3
 The Seller will keep the Agreement on file and retain it during the applicable legal retention period, during which Buyer’s with an account on the Site can consult it there. 

PRICE AND PAYMENT

3.1
 All prices indicated on the Site are in local currencies, inclusive of applicable value added tax (VAT) and exclusive of shipping costs.  Any shipping costs will be charged separately if a shipment is not eligible for free shipping. If applicable, VAT and shipping costs will be shown on the Order confirmation. The total amount Purchase Price due by Buyer, will be indicated when the Order is placed and when the Agreement for the Order is confirmed.

3.2 The Seller will be entitled to adjust the prices indicated on a Site from time to time without any notice being required. The prices indicated at the time at which the Order is placed will be deemed to be the prices that form part of the Agreement. For sale items, the price is indicated on the Site and cannot be applied to previous purchases.

3.3 
Payment can be made using the methods indicated in the Shipping & Return Policy on the Site and must be completed before an Order can be eligible for acceptance by the Seller.

3.4
 The Buyer is obliged to notify the Seller immediately regarding any errors in the payment details that the Buyer has provided to the Seller.

3.5 In the event that the Buyer exceeds the term for payment, the Seller may send a reminder upon which the Buyer has 14 days to pay the outstanding amount. After this additional term, the Seller will be entitled to charge statutory interest on the outstanding amount as from the reminder.

DELIVERY METHOD AND DELIVERY DATES

4.1 After full conclusion of the Agreement and receival of the Purchase Price, the Seller will send the Products as quickly as possible to the Buyer’s indicated address.

4.2 Any Shipment will be made using a carrier designated by the Seller.

4.3 
The Seller will make the delivery in accordance with the indicated delivery dates in the Shipping & Return Policy to the extent possible and Buyer acknowledges that delivery dates are based on the circumstances of which the Seller is aware at the time at which the Agreement is concluded and, insofar as they are dependent on work or services to be provided by third parties, on the information that such third parties provide to the Seller.

4.4 
The Buyer will receive notice as from 14 days after the Agreement is concluded, in the event that a delivery is delayed or in the event an Order cannot be executed in whole or in part, in which case the Buyer and/or Seller (depending on the circumstance) will be entitled to dissolve the Agreement free of charge until the time at which the Order is shipped.

4.5 The risk with respect to any damage to or loss of the Products will be transferred to the Buyer as from the time at which the Products are delivered.


RIGHT TO RETURN

5.1 The Buyer will be entitled to return the Product that has been delivered, within a term of 14 days after the Product has been received, without stating his/her reason for doing so. The product must be returned within 14 days from notifying the Seller of the return. The product must be in its original state, undamaged, unsoiled in the original dustbag, tissue paper and giftbox with all ticketing still attached. The Buyer will not be permitted to exchange the Product for another Product. If the Buyer wishes to purchase another Product, he/she will have to place a new order on the Site. Any costs made for returning the goods will be for the Buyers account.

5.2 The Buyer is responsible for choosing a reputable courier service for returning the package. The risk with respect to any damage to or loss of the Products will be transferred to the Seller as from the time at which the Products are returned to the Seller.


COMPLAINTS

6.1 
The Buyer will be obliged to inspect the Product upon delivery and to notify the Seller within a reasonable term in the event that there are any visible defects or other complaints regarding the performance of the Agreement. Such complaints must be submitted in writing and must be fully and clearly substantiated.

6.2 
The Seller will respond to any complaints that it receives within a term of 14 days after receipt. The Seller will notify the Buyer within a term of 14 days in the event that it is foreseeable that the complaint will require a longer term to be processed, stating the term within which the Buyer can expect to receive an answer.   

6.3 
The Buyer acknowledges that minor deviations, deviations that are generally considered acceptable and deviations that cannot be avoided or that are difficult to avoid in respect of the quality, size, colour, finishing, etc. of the Products cannot be avoided or are difficult to avoid and do not constitute a well-founded reason to submit a complaint (see Product Care page). Such complaints, and complaints regarding the fact that certain articles have been withdrawn from the sales offer are not valid. As such the Seller will by no means be liable for any damage that the Buyer sustains as a result of such complaints.

6.4 
The Buyer will fully cooperate in the event that the Seller recalls a Product. The Buyer will notify the Seller immediately in the event that the Buyer suspects that a Product has a safety defect and is subject to being recalled.

GUARANTEE AND LIABILITY

7.1 The Seller is not liable for any indirect, additional or consequential damage, of any kind whatsoever, that the Buyer sustains in connection with the Agreement. Under no circumstances will any direct damage, for which the Seller is legally liable towards the Buyer, exceed the Purchase Price. This provision is not intended to exclude the Seller’s liability in the event of bodily injury or death.  

7.2 The Seller refers to the disclaimer with regard to its liability in respect of the Site and the use of a Site.

MISCELLEANEOUS

8.1 The Agreement between the Buyer and the Seller is governed by Belgian law.

8.2 Any and all marks, product names, logos, models and designs (referred to below as the ‘IP Rights’) that are depicted on or affixed to the Products or otherwise related to the Products are the property of the Seller. The Buyer acknowledges the Seller’s proprietary rights in respect of the IP Rights and will refrain from using the IP Rights in any way, and the Buyer will refrain from any conduct that could harm or otherwise negatively affect the IP Rights. The Seller refers to the disclaimer with regard to the intellectual property rights in respect of a Site.

8.3 
The Seller will retain the title in respect of any and all goods to be delivered until the following obligations towards the Seller have been complied with in full: – the performance and obligations (including payment obligations) that the Buyer owes/has in respect of any and all goods that have been or that will be delivered in accordance with the agreement; and
– claims on the ground of the Buyer’s breach in respect of his/her compliance with this Agreement.  

8.4 
In the event that any provision contained in these Terms is invalid:
– the remaining provisions contained in these Terms will nonetheless remain in effect; and
– the invalid provision will have to be interpreted as, or converted into, a valid provision having the same purport to every extent possible.  

8.5 
The Seller is entitled to amend these Terms from time to time in accordance with need. The most recent version of the Terms will be placed on the Site. The Buyer must always consult these Terms before using the Site. If the Buyer is unable to consult the Terms via the Internet the Seller will send the Buyer a copy of the most recent version of the Terms by e-mail.

SITE USE DISCLAIMER

The rights with respect to a Site and the information, products, materials, software and services contained therein or otherwise provided thereby (the "Information") are owned by SEPI AGARI, its group companies and/or its licensors.  SEPI AGARI may amend these Terms, the Site and/or the Information at any time without prior notice and reserves the right to deny or limit access to a Site.


SEPI AGARI hereby grants a non-exclusive, revocable, non-assignable and non-sublicensable right to use the Site and the Information for personal and non-commercial use only. All other use is prohibited, including disclosure, copying, distribution and linking; SEPI AGARI makes reasonable efforts to ensure that the Information on a Site is accurate and up to date. However, SEPI AGARI does not guarantee that the Information is complete and correct.

 

Electronic communication cannot be guaranteed as secure and may be intercepted by others, software or spam filters; manipulated; infected with malicious code including viruses. Use of a Site and the Information is at your own risk. SEPI AGARI does not warrant the operability, accuracy, reliability, completeness, timeliness of the Site nor the uninterrupted, timely, secure or error-free operation of the Site. Use of a Site (including downloading thereof) is at your own risk. SEPI AGARI does not guarantee that the Site, the servers or electronic communication is free of viruses or other harmful material.

 

SEPI AGARI is not liable for any costs incurred or damage sustained directly or indirectly in connection with the Site, the Information or electronic communication, including if the Site, the Information or electronic communication (i) is unusable or can only be used in part or with limitations, (ii) lacks accuracy, relevance or currency or contains typing errors, (iii) is intercepted, manipulated, infected, does not arrive at its destination (iv) is delayed, (v) causes loss of data or (vi) harms computer systems. All exclusions of liability shall apply regardless of the legal ground on which liability is based.

These Processors are bound by appropriate contractual obligations to implement adequate security measures to protect security and confidentiality of personal data.

Your personal data may also be shared with institutions, authorities, public entities, banks and financial institutions, professionals, independent consultants, also in associate form, business partners or other legitimate recipients as permitted by applicable laws and regulations, for example in case of judicial processes, request by competent courts and authorities or other legal obligation, to protect and defend our rights and property and the Site.

Lastly, we may also communicate your personal data to third parties in case of mergers, acquisitions, transfers of any of our assets, products, websites or operations.
